Terms of Use

These Terms are a binding agreement between you and NeuroVitals, Inc. By creating an account, installing the app, or using the Service in any way, you agree to them. If you do not agree, do not use the Service.

1. Eligibility and account

You must be at least 17 years old and able to form a binding contract to use NeuroVitals. By using the Service, you confirm that you meet these requirements. You are responsible for safeguarding your credentials and atSign keys and for all activity under your account. Notify us immediately at security@neurovitalsai.com if you suspect unauthorized access.

2. Subscriptions, billing, renewal, cancellation

2.1 Pioneer Annual

NeuroVitals offers a Pioneer Annual subscription that unlocks the full Service for 12 months. The current price is shown on the in-app paywall before purchase and in your Apple ID receipt after purchase.

2.2 Auto-renewal

Subscriptions automatically renew at the end of each 12-month term at the then-current price unless you cancel at least 24 hours before the renewal date. Your Apple ID account is charged at the start of each renewal term.

2.3 Managing or cancelling

You can view, manage, or cancel your subscription at any time in Settings → [your Apple ID] → Subscriptions on iOS. Cancellation takes effect at the end of the current billing period; you retain access until then.

2.4 Refunds

All purchases are processed by Apple and refund requests are handled by Apple under the App Store's refund policy. Submit refund requests at reportaproblem.apple.com.

2.5 Free trials and promo codes

If we offer a free trial or promotional code, the specific terms of that offer will be presented at the time of redemption. Unless stated otherwise, only one trial or promotional offer per user is permitted.

3. License and acceptable use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the app on Apple-authorized devices that you own or control, solely for personal, non-commercial use.

You agree not to:

• Reverse-engineer, decompile, or attempt to derive the source code of the Service, except where expressly permitted by law.
• Resell, sublicense, or otherwise commercialize access to the Service.
• Use the Service to develop a competing product or to train machine-learning models without our written consent.
• Interfere with the Service's security, integrity, or availability.
• Use the Service to violate any law, infringe any rights, or harm any person.
• Submit false, misleading, or unlawful content; impersonate another person; or scrape or harvest data.

4. Wellness disclaimer — not medical advice

If you think you may have a medical emergency, call your doctor or emergency services immediately. Do not rely on the Service for emergency or urgent health decisions.

5. Third-party services and integrations

The Service integrates with third-party platforms (for example, Apple HealthKit, Oura, RevenueCat). Your use of those services is governed by their own terms and privacy policies. We are not responsible for outages, changes, or actions of those third parties. We may add or discontinue integrations at our discretion.

6. Your content

You retain all rights to the data you upload, generate, or store through the Service ("Your Content"). You grant NeuroVitals a limited, worldwide, royalty-free license to host, process, transmit, and display Your Content solely to provide and improve the Service for you. We do not use Your Content for advertising. We do not sell it. We do not use it to train third-party AI models.

If you submit feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation.

7. Our intellectual property

The Service, including software, designs, text, graphics, the "NeuroVitals" name and logo, and the "NV" mark, is owned by NeuroVitals, Inc. or its licensors and is protected by intellectual-property law. Except for the license granted in Section 3, no rights are granted to you.

8. Changes to the Service and Terms

We may modify the Service at any time — including adding, removing, or changing features. We may also update these Terms. When we make material changes to the Terms, we will update the "Last updated" date and provide notice in-app or by email at least 7 days before the change takes effect (unless a change is required for security or legal compliance). Continued use after the effective date constitutes acceptance.

9. Termination

You can stop using the Service at any time and delete your account in Settings → Account → Delete Account in the app, or by emailing privacy@neurovitalsai.com. We may suspend or terminate your access if you violate these Terms or use the Service in a way that risks harm to others or to the Service. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, and dispute resolution) survive.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind — express, implied, statutory, or otherwise — including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or uninterrupted operation. We do not warrant that insights or recommendations generated by the Service are accurate or suitable for your particular situation.

11. Limitation of liability

To the maximum extent permitted by law, NeuroVitals, its officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; loss of profits, revenue, data, or goodwill; or service interruption — arising out of or relating to the Service, even if advised of the possibility. Our total cumulative liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) US $100.

Some jurisdictions do not allow certain exclusions or limitations of liability; in those jurisdictions, the above limits apply to the maximum extent permitted by law.

12. Indemnification

You will indemnify and hold harmless NeuroVitals, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts — except where mandatory consumer-protection law in your country provides otherwise.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute by emailing legal@neurovitalsai.com with a written description and to allow us 60 days to respond.

14. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and NeuroVitals concerning the Service.
• Severability. If any provision is held unenforceable, the remainder stays in effect.
• No waiver. Failure to enforce a right is not a waiver.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Apple-specific. You acknowledge that these Terms are between you and NeuroVitals, not Apple. Apple is not responsible for the Service or its content. Apple is a third-party beneficiary of these Terms with the right to enforce them against you.
